Vendor Agreement

Effective April 2026

This Vendor Agreement ("Agreement") is entered into between Lusk RE One LLC ("Market Operator") and the vendor identified below ("Vendor"). By signing this Agreement, Vendor agrees to the following terms and conditions as a participant in the Chappell Hill Farmers Market ("Market").

1. Vendor Responsibilities

  1. Vendor will sell only products that Vendor personally grows, raises, produces, or creates. Resale of mass-produced, generic goods is prohibited.
  2. Select retail vendors may be approved at Market Operator's discretion to sell curated goods that complement the market's character, including clothing, accessories, and lifestyle products. Retail vendors are subject to the same insurance, permit, and conduct requirements as all other vendors.
  3. Vendor will comply with all applicable federal, state, and local laws, including but not limited to Texas Department of State Health Services (DSHS) regulations, Texas Cottage Food Law, and Texas Department of Agriculture (TDA) requirements.
  4. Vendor will maintain all required permits and licenses in good standing throughout the term of participation.
  5. Vendor is solely responsible for collecting and remitting all applicable sales taxes.
  6. Vendor will maintain a clean, professional, and well-organized booth at all times during market hours.
  7. Vendor will display business name and pricing clearly and label all products in accordance with Texas regulations.

2. Insurance Requirements

  1. Vendor must maintain a minimum of $1,000,000 General Liability Insurance at all times while participating in the Market.
  2. Vendor's insurance policy must name Lusk RE One LLC as additional insured.
  3. Proof of insurance must be provided at least 7 days before Vendor's first market day and must be kept current.
  4. Failure to maintain required insurance will result in immediate suspension from market participation.

3. Fees & Payment

  1. Vendor agrees to pay all applicable fees as set forth in the Market's current fee schedule, available at chfarmersmarket.com/pricing.html.
  2. Payment is due before or on the first market day of Vendor's billing period.
  3. Fees are non-refundable except in the case of market cancellation by Market Operator.
  4. Market Operator reserves the right to modify fees with 30 days' written notice.

4. Market Day Operations

  1. Market hours are 9:00 AM to 1:00 PM unless otherwise posted. Vendor setup begins at 7:00 AM. All vendors must be fully set up by 8:45 AM.
  2. Vendors must remain open for business until market close. Early teardown requires prior approval from market management.
  3. Vendor spaces must be completely cleared and cleaned within 1 hour of market close.
  4. Booth locations are assigned by market management. Preferred spots may be requested but are not guaranteed.
  5. Vendors may not move to a different space without prior approval.
  6. If Vendor cannot attend a scheduled market, Vendor must notify management at least 48 hours in advance. Two consecutive no-shows without notice may result in loss of booth assignment.

5. Food Truck Provisions

  1. Food trucks must be fully self-contained. The Market does not provide electricity, water, or waste disposal.
  2. Food trucks must hold all required DSHS permits and health department certifications.
  3. Food truck placement is at the sole discretion of market management.

6. Indemnification & Liability

  1. Vendor agrees to indemnify, defend, and hold harmless Lusk RE One LLC, its owners, officers, employees, agents, and volunteers from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to Vendor's participation in the Market, including but not limited to claims related to Vendor's products, employees, booth, equipment, or conduct.
  2. Vendor acknowledges that participation in the Market is at Vendor's own risk.
  3. Market Operator is not responsible for theft, damage, or loss of Vendor's property or equipment.
  4. Market Operator is not liable for injuries sustained by Vendor, Vendor's employees, or Vendor's customers.

7. Termination

  1. Market Operator may revoke Vendor's participation at any time for violation of this Agreement, market rules, failure to maintain required insurance or permits, selling unapproved or misrepresented products, disruptive or unprofessional conduct, or non-payment of fees.
  2. Vendor may voluntarily withdraw from the Market at any time by notifying management in writing.
  3. Upon termination, any outstanding fees remain due and payable.

8. General Provisions

  1. This Agreement constitutes the entire agreement between the parties regarding Vendor's participation in the Market.
  2. Market Operator reserves the right to amend market rules and this Agreement with reasonable notice to Vendor.
  3. This Agreement is governed by the laws of the State of Texas. Any disputes shall be resolved in Washington County, Texas.
  4. Vendor may not assign or transfer this Agreement without written consent from Market Operator.
